Offlyn for Brands

Terms & Conditions

Last updated 14 October 2026

1. About these terms

These terms govern how brands and hosts use Offlyn for Brands to set up brand partnerships at offline events. By creating an account, sending an offer or accepting one, you agree to them.

Offlyn for Brands is run by Offlyn Exp Labs Private Limited, Bengaluru, India ("Offlyn", "we", "us"). If you sign up on behalf of a company, you confirm you have the authority to bind it to these terms.

These terms sit alongside our Privacy Policy and the general Offlyn terms for attendees. If they conflict on a brand partnership, these terms win.

3. Accounts and eligibility

  • You must be at least 18 and able to enter a binding contract under Indian law.
  • Brands must give accurate business details, including legal name, GSTIN where applicable, and a working contact.
  • Hosts can receive Offers only after running at least 3 events and selling at least 6 tickets on Offlyn, or as Offlyn otherwise decides. We may review and approve a Host's listings before they go live.
  • You are responsible for everything done through your account. Keep your login, including WhatsApp sign-in codes, private and tell us at once if you think it has been misused.
  • We may refuse, pause or close an account that gives false information or breaks these terms.

4. How Deals work

  • Offer. A Brand chooses an Event and sends an Offer listing what it will provide and the Deliverables it wants. A Host may also request an Offer from a Brand.
  • Response. The Host can accept, suggest changes or decline. An Offer with no response within 3 days expires.
  • Deal. Once both sides agree, the Deal is binding on the agreed terms. The Brand's name may appear on the Event page.
  • Event. The Host delivers the agreed activation. Offlyn records Guest check-ins to count headcount.
  • Proof. The Host submits Proof within 3 days of the Event. A Host may ask for one extension of 24 hours.
  • Review. The Brand approves the Proof or asks for a fix. If the Brand does not respond within 3 days, the Proof is treated as approved.
  • Fixes and disputes. A Brand can ask for up to 3 rounds of fixes. If it is still not resolved, Offlyn will review the Deal and its decision on whether the Deliverables were met is final for payment on the Platform.

Either side may cancel a Deal before the Event by agreement. If a Host cancels or the Event does not happen, any amount held or charged for that Deal is returned to the Brand's Wallet.

5. Wallet, credits and payments

Wallet. Brands add money to a single rupee Wallet and use it across Deals. A Brand cannot send an Offer without enough balance to cover it.

Credits. For in-kind and sampling Deals, every ₹1 added to the Wallet gives 1.25 Credits. Each Event has its own Credit price, based on the Event (guests, ticket price), the Host's reach, the Brand and the units activated. The exact Credits for an Event are shown before the Offer is sent.

Cash Deals. The Brand and Host agree a rupee amount. The Host receives that amount in full, and Offlyn charges a 15% commission on top of it, paid by the Brand.

Holds and charges.

  • When an Offer is sent, the amount is held in the Wallet, not spent. It stays on hold until the other party approves the Deal.
  • If the Host declines, the Offer expires or the Deal is cancelled before the Event, the hold is released back to the Wallet.
  • The amount is charged once the Deal is approved by both sides. If the Event then doesn't happen, or the Host cancels, it is returned to the Wallet.
  • Hosts in Cash Deals are paid to their registered bank account after the Proof is approved.

Expiry and refunds. Credits expire 90 days after they are added. Credits and Wallet balances cannot be withdrawn as cash, except where Indian law requires a refund or Offlyn agrees in writing.

Taxes. Amounts are exclusive of GST and other applicable taxes, which are added to invoices. Each party is responsible for its own taxes, including TDS where applicable.

Promotions. Offlyn may run launch offers or waive fees for a period. These apply only as stated at the time.

6. What Hosts agree to

  • Exclusivity. An Event with a Deal must be listed and ticketed only on Offlyn. This is how check-ins and headcount are counted.
  • Delivery. Deliver the agreed activation, branding and posts, and tag the Brand as agreed. Confirm on the Platform when the Brand's product arrives.
  • Honest Proof. Submit real, unedited Proof from the Event itself. Fake headcounts, reused photos or bought engagement mean the Deal is not paid and the account may be closed.
  • Product handling. Store and hand out the Brand's product as instructed, and don't sell or resell it.
  • Safety. Run the Event safely and lawfully, including any licences needed for the venue or for serving food and alcohol.
  • Up to 3 brands. An Event can carry up to 3 Brand partnerships at once. Hosts should not accept direct competitors at the same Event unless both Brands agree.

7. What Brands agree to

  • Safe, legal products. Anything you send must be safe, correctly labelled and legal to hand out in India, with the licences it needs (for example FSSAI for food and drink). No tobacco, vapes, drugs, weapons or gambling products, and no alcohol except where the Event and venue are licensed for it.
  • Delivery on time. Get the agreed product, codes or materials to the Host's delivery address before the Event. If they don't arrive, the Host is not at fault for missing Deliverables.
  • Truthful claims. Your offers, codes and brand claims must be accurate and follow the ASCI code and consumer protection law.
  • Working links and codes. Links and discount codes shared with Guests must work and be honoured for the period stated.
  • Respect for Hosts and Guests. Don't contact Guests outside the Platform using data from an Event.

8. Guest follow-ups, content and IP

Guest follow-ups. The day after an Event, Offlyn may send Guests the Brand's link or code by WhatsApp and email, only to Guests who agreed to receive such messages. Offlyn sends these messages; Brands do not receive Guests' contact details.

Brand materials. Brands give Offlyn and the Host a limited licence to use their name, logo and materials to list, promote and deliver the Deal.

Event content. Hosts keep ownership of the photos and posts they create. By submitting Proof, the Host gives the Brand a non-exclusive licence to reuse that content on the Brand's own channels for 12 months, with credit to the Host where practical. Paid ads or longer use need the Host's separate consent.

Offlyn. Offlyn may show the Brand's and Host's names, logos and Event photos as examples of our work, unless you ask us not to.

Guests in photos. Hosts must let Guests know photos may be taken, and remove a Guest from content on request.

9. Measurement and reporting

The dashboard shows what Offlyn can count: check-ins, posts that tag the Brand, social reach reported by those posts, and clicks on the Brand's link for 30 days after the Event.

  • Social reach comes from the platforms where posts are made and may change or be estimated.
  • Offlyn does not currently track sales or conversions and does not promise any sales, reach or return on spend.
  • Credit estimates shown before an Offer are based on the Event details at the time. If the Host's promised headcount changes before acceptance, the price may change and the Brand will see it before confirming.

10. What's not allowed, and ending things

You may not use the Platform to:

  • give false information, fake Proof or inflated numbers
  • harass, discriminate against or endanger anyone
  • promote anything illegal, unsafe or misleading
  • scrape the Platform, copy its pricing or try to reverse-engineer it
  • take Deals off the Platform to avoid Offlyn's fees

We may pause or close an account, hold payments under review, or cancel a Deal if we reasonably believe these terms have been broken. Where we can, we'll tell you why first.

You can close your account at any time. Open Deals must still be completed or cancelled first, and Credits left in the Wallet follow section 5.

11. Liability

Offlyn's role. Offlyn is a marketplace. It connects Brands and Hosts, holds funds and counts results, but it does not run Events or make Brands' products. Each Deal is between the Brand and the Host.

No guarantees. The Platform is provided "as is". We work to keep it running and accurate but don't guarantee it will be error-free or always available.

Indemnity. Brands are responsible for claims arising from their products, codes and claims. Hosts are responsible for claims arising from how they run their Events. Each agrees to cover Offlyn's reasonable costs if a third party brings such a claim against Offlyn.

12. Law, changes and contact

Governing law. These terms are governed by the laws of India. Courts in Bengaluru, Karnataka have exclusive jurisdiction. Before going to court, both sides will try to settle a dispute in good faith for 30 days.

Changes. We may update these terms. For material changes we'll notify you by email or in the app at least 7 days before they apply. Deals already agreed keep the terms they were made under.
